Terms of Service

Plain English summary: ComplyDesk is currently in private beta. Access is free and by approval only. You own your data. We provide the service as-is during beta with no uptime guarantees. These Terms are governed by Finnish law. If something is unclear, email pavel@complydesk.app.

ComplyDesk is currently in a private beta phase. The service is provided free of charge to selected early users for approximately 60–90 days. Access requires manual approval. The product is under active development and may change significantly.

By participating in the beta, you acknowledge that the service may be unstable, incomplete, or subject to significant changes, and you agree to provide feedback to help improve the product.

1. Acceptance of these Terms

These Terms of Service (“Terms”) form a legally binding agreement between you and ComplyDesk (“ComplyDesk,” “we,” “us,” or “our”) governing your access to and use of the ComplyDesk software platform available at complydesk.app (the “Service”).

By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not use the Service.

2. Description of the Service

ComplyDesk is a cloud-based software platform that enables organizations to track contractor compliance documents, monitor document expiration dates, manage document requirements, and view compliance status across their contractor base.

The Service includes features for document upload and storage, team collaboration with role-based access controls, compliance dashboards, and organization management.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, particularly during the beta period.

3. Eligibility

To use ComplyDesk, you must:

  • Be at least 18 years of age
  • Be using the Service on behalf of a business, organization, or as a professional — ComplyDesk is a business-to-business (B2B) service and is not intended for personal, household, or consumer use
  • Have the legal authority to enter into these Terms on behalf of your organization (if applicable)
  • Not be prohibited from using the Service under applicable law

During the private beta, access is additionally subject to manual approval by ComplyDesk.

4. Accounts and access

4.1 Account registration

To use the Service, you must create an account with a valid email address. You are responsible for providing accurate information and keeping it up to date.

4.2 Account security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at pavel@complydesk.app if you become aware of any unauthorized access to your account.

You must not share your account credentials or allow others to access your account. Each user should have their own account. You can invite team members through the organization settings within the Service.

4.3 Organizations

When you create an organization within ComplyDesk, you become the owner of that organization account. As an owner, you are responsible for managing team member access and roles, and for ensuring that all users in your organization comply with these Terms.

5. Beta program

5.1 Access and eligibility

Beta access is free of charge and granted at our sole discretion through a manual approval process. We may accept or decline any application without providing a reason.

5.2 Duration

The beta period is expected to run for approximately 60–90 days from your date of access. We may extend or shorten this period at our discretion. We will provide reasonable notice before transitioning the Service to a paid model.

5.3 Feedback

As a beta participant, you are expected to provide feedback on your experience. Any feedback, suggestions, or ideas you submit to us may be used to improve the Service without obligation or compensation to you. You retain no intellectual property rights in feedback you provide.

5.4 Future pricing

ComplyDesk intends to introduce paid plans after the beta period ends. We will give beta users advance notice of any pricing changes and may offer special terms to early participants. Continued use of the Service after a paid plan launches will require acceptance of any updated Terms that include billing provisions.

5.5 Beta disclaimers

Beta software may contain bugs, errors, or incomplete features. We make no guarantees about uptime, performance, or data stability during the beta period. See Section 10 (Disclaimers) for full details.

6. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service to store or process data in violation of applicable law, including privacy laws and regulations
  • Upload or transmit content that is illegal, harmful, threatening, defamatory, or infringes on intellectual property rights
  • Attempt to gain unauthorized access to any part of the Service, other users' accounts, or our infrastructure
  • Use automated tools, bots, or scrapers to access the Service without our prior written consent
  • Resell, sublicense, or otherwise commercialize access to the Service without our written permission
  • Introduce malicious code, viruses, or any software that could harm the Service or other users
  • Use the Service in any way that could damage, disable, or impair its operation
  • Impersonate any person or entity, or misrepresent your affiliation

We reserve the right to suspend or terminate access to any account that violates these provisions, without prior notice in cases of serious violations.

7. Your data and content

7.1 Ownership

You retain full ownership of all data, documents, and content you upload to or create within the Service (“Your Content”). These Terms do not transfer any ownership rights to ComplyDesk.

7.2 License to operate the Service

By uploading Your Content, you grant ComplyDesk a limited, non-exclusive, royalty-free license to store, process, and display Your Content solely as necessary to provide the Service to you. This license terminates when you delete the content or close your account.

7.3 Responsibility for content

You are solely responsible for the accuracy, legality, and appropriateness of Your Content. This includes ensuring you have the right to upload and store documents about third-party contractors — for example, that you have obtained any consents required by applicable privacy law before entering contractor personal information into the Service.

7.4 Data portability and deletion

You can delete individual documents and contractor records within the application at any time. To request full account deletion, contact pavel@complydesk.app. We will process deletion requests within 30 days.

7.5 No use for training

We do not use Your Content to train machine learning models or for any purpose beyond operating the Service.

8. Intellectual property

ComplyDesk and its licensors retain all rights, title, and interest in and to the Service, including all software, designs, trademarks, logos, and documentation (“ComplyDesk IP”). Nothing in these Terms grants you any rights in ComplyDesk IP except the limited right to use the Service as permitted herein.

You may not copy, modify, distribute, sell, reverse-engineer, or create derivative works of the Service without our prior written consent.

9. Third-party services

The Service relies on third-party infrastructure providers, including Supabase for database, authentication, and file storage services. Your use of the Service is also subject to Supabase's terms and policies where applicable.

We are not responsible for the actions, content, or policies of any third-party service providers. Any links to third-party websites in our documentation or communications are provided for convenience only.

10. Disclaimers and warranties

Important: The following section limits our liability. Please read it carefully.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPLYDESK EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE

This disclaimer applies with particular force during the beta period. Beta software is inherently experimental and may contain significant bugs or data inconsistencies.

ComplyDesk is a tool to help you organize and track compliance documents. It is not a substitute for legal advice and does not guarantee that your use of contractors complies with any applicable law, regulation, or contractual obligation. You are solely responsible for ensuring your organization meets its legal compliance obligations.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPLYDESK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL COMPLYDESK'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO COMPLYDESK IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

During the beta period, while the Service is provided free of charge, our maximum liability is USD $100. Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability, so the above limitations may not apply to you in full.

12. Indemnification

You agree to defend, indemnify, and hold harmless ComplyDesk and its operators from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of the Service in violation of these Terms
  • Your Content, including any claim that Your Content violates the rights of a third party
  • Your violation of any applicable law or regulation

13. Termination

13.1 Termination by you

You may stop using the Service at any time. To permanently close your account and request deletion of your data, contact pavel@complydesk.app.

13.2 Termination by ComplyDesk

We may suspend or terminate your access to the Service at any time, with or without notice, if:

  • You violate these Terms
  • We believe your use poses a security risk or harm to the Service or other users
  • We decide to discontinue the Service or a part of it
  • Required to do so by law

For beta participants, we may also end beta access at our discretion, particularly at the conclusion of the beta period.

13.3 Effect of termination

Upon termination, your right to access the Service immediately ceases. We will delete your data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination (including Sections 8, 10, 11, 12, and 14) will remain in effect.

14. Governing law and disputes

These Terms and any disputes arising from them are governed by the laws of Finland, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

We encourage you to contact us first at pavel@complydesk.app to resolve any disputes informally before initiating formal proceedings. We will make a good-faith effort to resolve disagreements promptly.

If a dispute cannot be resolved informally, it shall be submitted to the competent courts of Finland. If you are a business user located in the European Union, you also have the option of using the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

Nothing in this section limits your rights under mandatory consumer protection laws that apply in your jurisdiction.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and notify registered users by email at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree with the updated Terms, you must stop using the Service before the effective date.

During the beta period, we may update these Terms more frequently as the product and business model evolve. We will always provide notice of material changes.
